Terms of Service
These Terms of Service ("Terms") govern your use of the SaaS product MSPercury ("Service") provided by IT Systeme Flores UG (haftungsbeschränkt), Neufeldweg 25a, 51427 Bergisch Gladbach, Germany ("we", "us"). The Service is intended exclusively for businesses within the meaning of § 14 of the German Civil Code (BGB).
1. Contract formation
By registering a workspace on mspercury.com and accepting these Terms, you enter into a contract for the use of the Service under the conditions you select. Only natural persons with full legal capacity acting in the context of a business or profession are entitled to use the Service.
2. Scope of service
MSPercury is a browser-based software for creating, managing and archiving quotes, customer and project data for Managed Service Providers. The specific feature scope follows the product description on our website at the time of purchase.
3. Free trial
New workspaces receive a free trial of seven (7) days from registration. The trial ends automatically; no payment is required. If no paid subscription is activated after the trial ends, the workspace will be locked. Data is retained for 30 days and then irrevocably deleted.
4. Fees and billing
The usage fee is €39.00 net per user per month plus applicable VAT. Annual billing waives two monthly payments (€390.00 net per user per year). Payments are processed by Stripe Payments Europe, Ltd. ("Stripe"). Invoices are issued in English. VAT IDs are validated via VIES; EU B2B customers with a valid VAT ID receive invoices with reverse-charge notice (0% VAT).
The billable user count equals the number of invited and non-deleted users in the workspace. Changes are prorated on the next invoice.
5. Term and termination
The contract runs for an indefinite period. Monthly contracts may be cancelled at any time effective at the end of the current billing period. Annual contracts end at the end of the respective year unless cancelled sooner. Cancellation is effected via self-service in the workspace or by written notice to info@mspercury.com.
6. Customer obligations
- Credentials must be kept confidential. You must notify us immediately if misuse is suspected.
- You represent that you hold all necessary rights to the data you enter and that its processing does not infringe third-party rights.
- You must not use the Service for unlawful purposes.
7. Availability
We target an annual availability of 99.5%. Planned maintenance windows and downtime caused by circumstances outside our reasonable control (force majeure, upstream provider outages, third-party attacks) are excluded.
7a. Data backups — IMPORTANT
We perform daily full-server backups of the Hetzner VPS. These server-wide backups protect against total infrastructure loss.
Per-tenant snapshots and per-workspace restore points DO NOT EXIST YET. In concrete terms: if you or another user in your workspace accidentally deletes customers, projects, CheckUps, quotes or catalog entries, we currently cannot selectively restore them. A full-server restore would reset ALL workspaces to the backup point, which is unsuitable for individual cases.
We are building a per-workspace snapshot system. Until then, we strongly recommend using the workspace export (Settings → Data Export → "Workspace as .zip") regularly to keep your own safety net. The export is GDPR Art. 20 compliant and contains all customer, project, quote and CheckUp data as JSON + CSV. You are responsible for maintaining your own data backups.
8. Data protection and processing
We process personal data in accordance with our Privacy Policy. For processing on your behalf, the Data Processing Agreement (DPA) applies as an integral part of these Terms.
9. Liability
We are liable without limitation for intent and gross negligence and for damages arising from injury to life, body or health. For slight negligent breaches of essential contractual obligations, liability is limited to damages typical and foreseeable for this type of contract. Any further liability is excluded.
10. Changes to these Terms
We may amend these Terms provided essential provisions of the contract remain unaffected and the changes are necessary to adapt to changes in law or case law. Changes will be communicated in text form at least 30 days before they take effect. If you do not object within that period, the changes are deemed accepted.
11. Final provisions
German law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for all disputes arising from this contract is Bergisch Gladbach, Germany, to the extent permitted by law. Should any provision be invalid, the validity of the remaining provisions is not affected.
